If GWA succeeds in securing a sponsorship for the Channel at a price (the “GWA
Price”) which is higher than the price YouTube would have charged for the same
sponsorship (the “YouTube Price”), GWA shall receive: (i) 20% of the
difference between the GWA Price and the YouTube Price (the “Uplift”); and (ii)
20% of the YouTube Price less the You Tube commission.
